LIC Gets RBI Nod to Raise ICICI Bank Stake to 9.99%

The Reserve Bank of India has approved Life Insurance Corporation of India, or LIC, to acquire an aggregate stake of up to 9.99% in ICICI Bank. The approval has put both LIC and ICICI Bank shares under close watch in the Indian stock market. The development came at a time when the broader market faced pressure from weak global cues, higher crude oil prices and concerns about interest rates.

ICICI Bank said it received a copy of the RBI letter on September 4, 2026, at 9:09 PM. The letter allowed LIC to acquire up to 9.99% of ICICI Bank’s paid-up share capital or voting rights. The approval is valid for one year from the date of the RBI letter. If LIC does not use the approval within that period, the permission will stand cancelled.

The RBI approval also comes with conditions. LIC must follow all relevant laws and regulatory rules while it builds its stake. So, the approval does not mean that LIC will buy the full 9.99% stake at once. It gives the insurer permission to raise its holding up to that level within the approved period.

LIC Already Holds a Major Stake

LIC is not a new investor in ICICI Bank. At the end of the April-June 2026 quarter, LIC held 31,18,17,010 shares, equal to about 4.35% of ICICI Bank’s net paid-up capital. This makes LIC one of the major insurance investors in the private lender.

The new approval gives LIC room to more than double its current holding. If LIC uses the full approval, its stake could rise from about 4.35% to as much as 9.99%.

That is an important change because a stake close to 10% gives LIC a much larger financial interest in one of India’s biggest private banks. It also shows the insurer’s continued confidence in the long-term value of ICICI Bank.

However, investors should note one important point. RBI approval is not the same as a completed purchase. The actual impact on ICICI Bank’s shareholding will depend on how much LIC buys and when it makes those purchases.

Why ICICI Bank Shares Are in Focus

The RBI decision has made ICICI Bank one of the key stocks to watch in the current market. Investors often pay close attention when a large institutional investor gets approval to raise its stake in a major listed company.

ICICI Bank has also delivered a positive return over the longer term. According to Economic Times, the stock has gained about 6% in 2026 so far. Over the past three years, the shares have delivered a return of more than 47%, while the five-year gain is around 99%. The bank’s market value is above ₹10.21 lakh crore.

At the same time, the stock has faced some recent pressure. ICICI Bank shares had fallen more than 2% over the previous week before the September 7 session. This shows that the LIC news comes at a time when investors are also watching wider market risks.

LIC’s Existing Investment Becomes More Important

The decision also matters for LIC itself. The insurer has a very large investment portfolio, so changes in its holdings can attract strong market attention.

LIC has already seen a sharp rise in the value of some technology investments this year. Its holdings in TCS, Infosys and HCL Technologies rose in value by about ₹21,032 crore in 35 days, according to an earlier Economic Times report. The combined market value of these three holdings rose from ₹1.05 lakh crore at the end of June to ₹1.26 lakh crore on August 4.

For investors, the key issue is not only the size of LIC’s current stake. The bigger question is whether LIC will use the new approval to make large purchases in the open market.

Mutual Funds Also Hold a Large Stake

LIC is not the only large institutional investor in ICICI Bank. Mutual funds have a major presence in the bank’s shareholding structure.

At the end of June 2026, mutual funds held about 29.60% of ICICI Bank. SBI Mutual Fund was the largest mutual fund holder, with a 6.27% stake. ICICI Prudential Mutual Fund held about 4.40%, HDFC Mutual Fund had 3.58%, while Nippon Life India Mutual Fund held around 2.55%.

Insurance companies together held about 8.24% of ICICI Bank at that time. SBI Life Insurance also had a stake of around 1.43%.

This institutional ownership is important because it shows that ICICI Bank has strong support from large professional investors. A higher LIC stake could further increase the importance of institutional ownership in the bank.

What the RBI Approval Means for Investors

For shareholders, the RBI decision is mainly a positive signal about LIC’s ability to increase its exposure to ICICI Bank. It gives LIC flexibility to buy more shares over the next year.

But investors should not assume that the full 9.99% stake will definitely be purchased. LIC has received permission to reach that level, not an instruction to do so.

The market will therefore focus on future shareholding disclosures. Any clear rise in LIC’s actual stake could create fresh interest in ICICI Bank shares. If LIC does not make major purchases, the initial market reaction could lose some strength.

The one-year period is also important. The RBI approval will remain valid for one year from September 4, 2026. That gives LIC time to decide how and when to increase its holding.

ICICI Bank Remains a Key Banking Stock

ICICI Bank remains one of the most closely watched private banks in India. Several major brokerages continue to have a positive view of the stock.

Economic Times reported that Nomura prefers ICICI Bank and Kotak Mahindra Bank among large banks. Motilal Oswal also listed ICICI Bank among its top banking picks, along with SBI, Kotak Mahindra Bank and AU Small Finance Bank.

Such views do not guarantee future returns. Stock prices can move due to many factors, such as loan growth, asset quality, interest rates, earnings, deposits and overall market sentiment.

The LIC approval is therefore one part of the larger picture for ICICI Bank.

Market Reaction Comes at a Difficult Time

The LIC-ICICI Bank news comes on a weak day for Indian equities. On September 7, the Nifty 50 fell 0.50% to 23,779.15, while the Sensex declined 0.50% to 76,132.81. Both indexes touched six-week lows.

The market also faced pressure from higher crude oil prices. Brent crude moved close to $97 per barrel, as tensions around the Middle East and the Strait of Hormuz raised concerns about global oil supply. Higher oil prices are a concern for India because the country imports a large share of its crude requirement.

Against this backdrop, a major domestic institutional investment decision such as LIC’s possible increase in ICICI Bank can attract extra attention from investors.

What Investors Should Watch Next

The most important event now will be LIC’s actual purchase activity. Investors will want to see whether the insurer raises its current 4.35% stake and moves closer to the approved 9.99% ceiling.

The next shareholding disclosures will therefore matter. A visible increase in LIC’s ownership could support investor confidence in ICICI Bank. It could also show that LIC sees value in adding more exposure to the private banking sector.

For now, the RBI approval should be viewed as permission for a possible larger investment, not as proof that the full purchase will happen.

The development is still significant. LIC already has a sizeable holding in ICICI Bank, and the new approval gives it the ability to take that position much higher. With ICICI Bank above ₹10.21 lakh crore in market value, strong institutional ownership and positive long-term stock performance, the bank remains an important name in India’s financial sector.

For the Indian stock market, the key story is simple: LIC now has RBI approval to increase its ICICI Bank holding to as much as 9.99% within one year. The actual buying by LIC, rather than the approval alone, will be the next major trigger for ICICI Bank investors.
