Ganon Products Accepts Anand Mahadevan Exit

Ganon Products Limited has accepted the resignation of Anand Mahadevan from the post of Independent Director. His resignation took effect from August 10, 2026. The company’s Board took note of his resignation at its session on August 11, 2026, in Mumbai.

The company disclosed the change through a filing with BSE Limited under Regulation 30 and Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The filing also refers to SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024.

The change marks the exit of an Independent Director who had joined the Ganon Products Board only in March 2025. His departure comes at a time when the company is also working through changes in its business and Board structure.

Resignation Effective From August 10

Anand Mahadevan, whose DIN is 07728686, sent his resignation to the Board on August 10, 2026. The resignation became effective at the close of business hours on the same date.

The reason stated in his resignation letter was “pre-occupancy constraints”. The company did not report any dispute between Mahadevan and Ganon Products. The filing also does not point to any material conflict as the reason for his exit.

Mahadevan also thanked the Board for the opportunity to serve the company. Ganon Products, in its response, placed on record its appreciation for his advice, guidance and contribution during his time as an Independent Director.

Board Takes Note of the Exit

The Board session took place on August 11, 2026. It began at 3:30 P.M. and ended at 4:05 P.M.

Abhijeet Kacharu Jagtap, Managing Director of Ganon Products Limited, confirmed the acceptance of Mahadevan’s resignation. Jagtap has DIN 10915468.

The company has also asked the stock exchange to record the end of Mahadevan’s directorship. The filing states that no relationships between Mahadevan and other directors were disclosed. It also does not list any other directorships held by him in listed entities in this particular submission.

This means Mahadevan will no longer form part of the company’s Board from August 10, 2026.

Mahadevan Joined the Board in March 2025

Mahadevan had joined Ganon Products on March 20, 2025, as an Additional Director under the category of Non-Executive Independent Director.

At that time, the company proposed a first term of five consecutive years for him. The proposed term was set to start on March 20, 2025, subject to shareholder approval. Company records later showed a proposal for his regularisation as an Independent Director from September 30, 2025.

His appointment came after Sanjay Sood and Roopal Sood left their roles as Non-Executive Independent Directors with effect from March 20, 2025. Their exits were due to personal and other professional commitments.

Mahadevan therefore had a relatively short tenure on the Board. His exit, less than 18 months after his appointment, now creates another change in the company’s independent oversight structure.

What Does an Independent Director Do?

An Independent Director has an important role on a listed company’s Board. Such a director does not take part in the company’s daily executive work. Instead, the role focuses on oversight, advice, governance and protection of shareholder interests.

Independent Directors can also provide an outside view on important company matters. Their presence can add balance to Board decisions and help improve corporate governance.

For Ganon Products, the exit of Mahadevan means the company must ensure that its Board structure remains in line with all applicable rules. The company may need to assess its Board strength and decide whether a new Independent Director is required.

At this stage, Ganon Products has not stated in the cited disclosure who may replace Mahadevan or when a new appointment may take place.

Ganon Products’ Recent Business Picture

The Board change comes soon after Ganon Products reported its results for the first quarter of FY27.

For the quarter ended June 30, 2026, the company reported a net profit of ₹4.25 lakh. This was a 164% rise from the net profit of ₹1.61 lakh in the same quarter of the previous year.

Income from operations stood at ₹90.80 lakh in Q1FY27. The company had reported nil operational income in Q1FY26. Total revenue also rose to ₹90.80 lakh from ₹10.90 lakh a year earlier.

The company had stock purchases worth ₹76.00 lakh in the latest quarter, compared with nil in the same period of the prior year. Employee benefit costs fell to ₹1.80 lakh from ₹2.83 lakh. Finance costs stood at nil, against ₹1.44 lakh in Q1FY26.

These figures show a sharp rise in operational activity during the latest quarter. Still, investors may look at the Board change separately from the financial results because the resignation was due to pre-occupancy constraints rather than a stated business or financial issue.

Share Price Performance

Ganon Products shares closed at ₹7.97 on August 11, 2026, according to market data. The stock had a 52-week high of ₹17.39 and a 52-week low of ₹7.56.

The share had fallen 49.24% over six months and 33.97% over one year. The five-year return stood at -21.09%, while the one-day return was +0.25% and the five-day return was -6.24%.

The share price data shows that the company’s stock has faced notable pressure over the medium and longer term. However, the latest resignation disclosure itself does not state that Mahadevan’s exit has any link to the share price or financial performance.

No Dispute Cited in the Disclosure

One of the key points for shareholders is the reason for the resignation.

The company has cited the reason given by Mahadevan as pre-occupancy constraints. The filing does not mention a dispute, disagreement with the Board, governance concern or other conflict.

This distinction is important because an Independent Director’s sudden exit can sometimes raise questions about Board matters. In this case, the available disclosure does not give such an indication.

The company has also thanked Mahadevan for his advice and contribution. This suggests that Ganon Products has formally treated the departure as a normal change in Board membership rather than as a conflict-related exit.

What Investors Should Watch Next

The next important point for shareholders will be the company’s decision on its Board structure.

Ganon Products may disclose a new Independent Director appointment if required. Investors may also watch for further BSE disclosures about the Board, corporate governance and any change in the number of Independent Directors.

The company’s recent financial performance will remain another key area of focus. Q1FY27 showed a large rise in operational income and a 164% rise in net profit, but investors will want to see whether this improvement can continue in later quarters.

For now, the main fact is clear. Anand Mahadevan has left the Board of Ganon Products with effect from August 10, 2026. The company accepted his resignation at its August 11 Board session and cited pre-occupancy constraints as the reason. No material conflict or dispute has been disclosed in the filing.
